Single-Season Performance Contract
Dear Bryan,
Thank you for being part of the Live On Stage family. We are excited to bring The Dreamboats to our Live On Stage Presenters and audiences throughout the 2027–28 Touring season.
This season-wide Artist Performance Agreement brings every confirmed engagement, Artist compensation amount, and approved technical package into one coordinated contract. Please use these guidelines:
Review every engagement. Confirm the Presenter, venue, date, time, and included STAR Education service.
Review the Artist Month at a Glance. The accompanying read-only calendar highlights booked dates only. All engagement information remains in this Agreement.
Review Artist compensation. The Artist’s per-concert fee and per-STAR-performance fee are fixed for the season and do not vary by Presenter. These amounts are confidential between the Artist/Producer and LOS and must not be discussed with a Presenter.
Review the approved technical package. The approved LOS Technical Rider and Stage Plot remain authoritative. Artist-requested changes require written LOS approval.
Complete advancing. Contact the Presenter’s designated advance and technical contacts within the stated windows and immediately report a material issue to the Booking/Contracting Director.
Document requested changes. Use the Artist Suggested Changes area on the applicable page. Artist initials and LOS counter-initials document an accepted note.
Sign after review. This Agreement becomes effective only when signed by the Artist/Producer and countersigned by an authorized LOS representative. Any noted change becomes part of the Agreement only when initialed by the Artist/Producer and counter-initialed by LOS. After full execution, LOS will deliver a PDF copy of the completed Agreement to the Artist/Producer using the notice email on record. Controlled Terms and Signatures

Engagement Commitment. Artist/Producer shall perform every engagement listed in the confirmed schedule in a professional manner and in accordance with this Agreement, the executed Artist Representation Agreement, and the approved season-specific technical package. No listed engagement may be rejected, reassigned, or materially changed without LOS's prior written approval.
Artist Compensation. LOS shall pay the Artist compensation stated for each engagement and included STAR Education service. Artist/Producer shall not request, negotiate, or discuss additional compensation with a Presenter.
Payment Conditions. Payment is due according to the date stated for each engagement after successful completion of the applicable performance and services, receipt of any required invoice or tax documentation, and resolution of a good-faith dispute. LOS may withhold amounts required by law and shall provide available supporting information concerning the withholding.
Payment-Instructions Security. A change to payee, bank account, or remittance instructions is not effective solely because it is sent by email, text, or electronic document. LOS shall verify the change directly with the authorized Artist representative using a previously established telephone number or another independently verified channel before releasing funds.
Artist Costs and Personnel. Except as expressly assigned to a Presenter in the approved technical package, Artist/Producer is responsible for Artist personnel, compensation, payroll, union obligations, travel, lodging, per diem, insurance, taxes, visas, work authorization, equipment, costumes, props, freight, management commissions, and other Artist-side costs.
Technical Package. The identified LOS Technical Rider and Stage Plot are incorporated into this Agreement and remain the authoritative technical documents for all engagements. Artist/Producer may not add, omit, or materially alter a requirement after approval without written LOS authorization. LOS does not guarantee that a Presenter can accommodate an unauthorized late change.
Advancing. Artist/Producer shall make the required advance contacts, cooperate with Presenter and venue personnel, and promptly communicate any material technical, travel, personnel, schedule, safety, or hospitality issue to LOS. Artist/Producer may not amend the Agreement or negotiate additional compensation directly with a Presenter.
Performance Standard and Program. Artist shall provide the approved performance length, personnel, instrumentation, Program, and STAR Education services stated in the incorporated records. Artist shall use professional best efforts and shall not materially substitute performers or content without LOS's prior written approval.
Artist Illness, Injury, or Unavailability. Artist/Producer shall notify LOS immediately of an illness, injury, travel disruption, personnel issue, or other circumstance that may affect performance. Upon reasonable request, Artist/Producer shall provide timely, appropriate documentation sufficient to substantiate an illness or injury affecting performance, subject to applicable law and with personal medical information limited to what is reasonably necessary. The parties shall cooperate in good faith regarding an approved substitute, rescheduling, or cancellation. Artist/Producer is not entitled to compensation for an unperformed engagement except as expressly stated in this Agreement or a signed amendment.
Artist Default and Cure. If Artist/Producer materially breaches this Agreement and does not cure the breach within five business days after written notice, or sooner when the engagement schedule reasonably requires, LOS may suspend payment, cancel affected engagements, secure a replacement, and pursue documented damages and other available remedies. LOS shall use reasonable efforts to reduce avoidable damages.
Force Majeure and Public Health. Neither party is liable for failure or delay caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome, including severe weather, natural disaster, fire, flood, epidemic, pandemic, public-health emergency, governmental order, war, terrorism, civil unrest, transportation interruption, venue closure, utility failure, or qualifying labor disruption. The affected party shall give prompt notice and take reasonable steps to limit harm. LOS and Artist shall first consider rescheduling when reasonably practicable. Artist compensation for an unperformed engagement is limited to any amount expressly stated in this Agreement or a signed amendment.
Venue, Accessibility, and Safety Requirements. Artist/Producer shall comply with applicable law and reasonable venue rules concerning safety, emergency procedures, accessibility, nondiscrimination, public health, security, and credentialing. Neither party may impose a new material requirement after execution unless required by law, the venue, or written agreement.
Professional Conduct. Artist and touring personnel shall act professionally and shall not engage in unlawful harassment, discrimination, violence, material intoxication affecting performance, or conduct that creates a substantial safety risk or materially prevents fulfillment of the engagement. This provision is not intended to restrict lawful artistic expression or protected speech.
Merchandise. Artist may sell customary merchandise subject to disclosed venue rules, taxes, staffing, and commissions. Any Presenter or venue participation must be confirmed during advance. LOS receives no merchandise participation unless separately agreed in writing.
Recording, Broadcast, and Promotional Use. No party may record, livestream, broadcast, reproduce, or distribute a performance without the approvals required from LOS, Artist, Presenter, venue, unions, and other rights holders. Artist/Producer authorizes LOS to use the approved promotional assets identified in the Artist record solely for LOS and Presenter promotion of the engagements, subject to the executed Artist Representation Agreement.
Artificial Intelligence and Digital Replicas. Neither LOS nor Artist/Producer shall create, authorize, publish, distribute, or commercially use a synthetic simulation of an identifiable person's name, image, likeness, voice, or performance without that person's or rights holder's prior written consent. Approved materials may not be used to train or fine-tune a generative model without express written permission. Ordinary authorized technical editing is not prohibited.
Rights and Clearances. Artist/Producer warrants that it has authority to enter this Agreement and has secured the rights, licenses, permissions, and clearances required for the performance, Program, submitted materials, personnel, Artist-authorized promotional uses, and all imagery, video, artwork, recordings, projections, or other content displayed or performed on stage. Artist/Producer is solely responsible for claims arising from its failure to obtain those rights and, to the extent permitted by law, shall defend, indemnify, and hold harmless LOS and Presenter and their respective officers, employees, and agents from any resulting third-party claim, liability, damage, judgment, or reasonable legal expense.
Insurance and Mutual Indemnification. Artist/Producer shall maintain commercially reasonable insurance appropriate to its touring operations and provide evidence upon reasonable request. To the extent permitted by law, each party shall defend, indemnify, and hold harmless the other party and its officers, employees, and agents from third-party claims arising from the indemnifying party's negligence, willful misconduct, infringement, or material breach. Neither party indemnifies the other for the other party's own negligence or willful misconduct.
Independent Contractor. Artist/Producer is an independent contractor and is not an employee, partner, joint venturer, or agent of LOS or Presenter. Artist/Producer is responsible for direction and control of its personnel except for reasonable venue, safety, schedule, and technical coordination.
Privacy and Information Security. Each party shall use personal, payment, travel, and operational information received under this Agreement only as reasonably necessary to administer the engagements, satisfy legal obligations, and protect legitimate business interests. Each party shall maintain reasonable safeguards and promptly notify the other of a confirmed security incident materially affecting information received from the other party.
Notices. Formal notices must be sent to the authorized notice contacts in the final Agreement record by personal delivery, nationally recognized overnight service, or email with confirmation of transmission. Routine advancing and scheduling communications are not formal legal notice unless clearly identified as such.
Assignment and Subcontracting. Artist/Producer may not assign this Agreement, substitute the contracted Artist, or delegate a material performance obligation without LOS's prior written consent. LOS may assign the Agreement to a successor that assumes its obligations in connection with a merger, reorganization, or transfer of substantially all relevant business assets.
Good-Faith Dispute Escalation. Before filing a lawsuit, an authorized executive representative of each party shall confer in good faith for at least ten business days after written notice describing the dispute and requested resolution. This does not prevent emergency injunctive relief, preservation of a limitations period, enforcement of an undisputed payment, or action needed to protect safety, intellectual property, confidential information, or personal rights.
Governing Law and Venue. This Agreement shall be governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any legal action arising from this Agreement shall be brought exclusively in a state court of competent jurisdiction located in Robertson County, Tennessee, or, when federal jurisdiction applies, in the United States District Court for the Middle District of Tennessee. Each party consents to that jurisdiction and venue.
Entire Agreement; Order of Precedence. This Agreement, the executed Artist Representation Agreement, confirmed engagement schedule, signed amendments, and identified approved attachments constitute the agreement concerning the listed engagements. If documents conflict, a signed amendment controls, followed by this Artist Performance Agreement, the confirmed schedule, the Artist Representation Agreement, and then the approved technical package, unless the signed documents expressly establish another order.
Severability; Waiver; Counterparts and Electronic Signatures. If a provision is held unenforceable, it shall be enforced to the maximum extent permitted and the remainder remains effective. A waiver is effective only in writing for the stated instance. This Agreement may be signed in counterparts and through an agreed electronic-signature process; all counterparts form one instrument.
