AGREEMENT EFFECTIVE DATE

This Artist Representation Agreement (“Agreement”) is between Live On Stage, Inc. (“LOS”) and the ARTIST/AUTHORIZED REPRESENTATIVE identified above. It becomes effective on the date of the last required signature and continues through May 31, 2028, unless earlier terminated in accordance with this Agreement.

The Additional Terms and Conditions, fully executed Tour Guideline Sheet, applicable STAR Education pages, and Performance Program are incorporated into this Agreement.

LOS OBLIGATIONS

1. EXCLUSIVE REPRESENTATION

LOS will exclusively represent Artist for booking, contracting, and related matters involving LOS Presenters and the other markets defined in the controlled Agreement.

2. LOS BOOKING EFFORTS

LOS will use commercially reasonable efforts to secure engagements. This Agreement does not guarantee a minimum or maximum number of engagements.

3. TOUR PERIOD AND GUIDELINES

The signed Tour Guideline Sheet remains authoritative. Within-guideline dates are preapproved; outside-guideline dates require specific Artist approval.

4. ARTIST PERFORMANCE AGREEMENT

After concerts are approved, LOS will issue one season-wide Artist Performance Agreement.

5. ADVANCE INFORMATION

LOS will provide the information needed to advance each confirmed engagement.

10–13. MATERIALS AND PROMOTIONAL AUTHORIZATION

Accepted materials become the official seasonal materials available for LOS and Presenter promotion. Changes after approval require LOS approval, and Artist grants the promotional rights stated in the controlled Agreement.

14. TECHNICAL PACKAGE

Artist provides a current Technical Rider and Stage Plot for conversion to the LOS format and approval by Artist and LOS.

15. PERFORMANCE LENGTH

Artist provides a minimum 90-minute performance, excluding intermission, unless LOS approves an Artist-specific exception.

16. PERFORMANCE PROGRAM

The LOS-approved Program becomes the official Program for the season unless a documented revision is approved.

Warranties and Legal Terms

17. Artist Warranties

Authority to bind Artist, absence of conflicting commitments, fulfillment of confirmed engagements, and authorization of submitted materials.

18. LOS Warranties

Fair and equitable representation alongside other seasonal Artists.

19. Indemnification

The controlled clause addresses third-party claims, breach, negligence, injury, property damage, and infringement, subject to its stated exclusions and required legal review.

20. Notices

Formal written notice requirements and addresses.

21. Entire Agreement and Modification

Complete understanding; executed versions are never edited in place.

22. Artist Termination

No termination for convenience before May 31, 2028, subject to the controlled provision.

23. Severability

Invalid provisions are enforced to the legally permitted extent or severed.

24. Assignment

Artist may not assign the Agreement or obligations without prior LOS approval.

26. Breach and Remedies

Rights and remedies following a material failure to perform or comply.
